Terms of Service

These Terms govern your use of the “Vault.” client portal (the “Platform”) operated by Sanjay Raj Mukundan, an AMFI-registered Mutual Fund Distributor (ARN-254257) (“we”, “us”). By creating an account or using the Platform, you agree to these Terms and to our Privacy Policy.

1. Eligibility

You must be at least 18 years old (minor folios are operated by a guardian), a person able to contract under Indian law, and hold a valid PAN and KYC. You agree to provide accurate, current information and to keep it updated.

2. Nature of our service — execution only

We are a mutual fund distributor. The Platform is an execution-onlyfacility that helps you transact in mutual fund schemes. We do not provide investment advice, recommendations, portfolio management or financial planning. Nothing on the Platform — including categorisations, charts, returns or rankings — constitutes advice or an offer or solicitation to buy or sell any security. You make your own investment decisions; consider consulting a SEBI-registered Investment Adviser if you need advice.

3. How we are paid (at no extra cost to you)

Using Vault costs you nothing in distribution fees — you do not pay us directly, and the amount you invest goes into your chosen scheme (apart from minimal statutory levies such as stamp duty). As your mutual fund distributor we receive a commission from the Asset Management Company (AMC), paid out of the scheme’s existing expense ratio— it is not an additional charge added to your investment. We distribute regular plans; direct plans, which have a lower expense ratio because they do not include distributor commission, are also available directly from the AMCs and their Registrars. The EUIN and ARN applicable to your transactions are disclosed as required by SEBI/AMFI.

4. Market risk

Mutual fund investments are subject to market risks. Read all scheme-related documents carefully before investing. Past performance is not indicative of future results. The value of investments can go up or down, and we do not guarantee any returns.

5. Orders, payments and settlement

Orders you place are routed to and executed through NSE MF Invest and the relevant AMCs/RTAs, subject to their rules, cut-off times and acceptance. We never take custody of your funds.Payments flow directly from your bank account (via mandate, UPI or net-banking through NSE’s authorised payment channels) to the AMC; units are allotted and held by the AMC/RTA. We are not responsible for delays, rejections or errors caused by banks, AMCs, RTAs, NSE or payment gateways.

6. Your responsibilities

• Keep your login credentials and OTPs confidential; you are responsible for activity under your account.
• Provide accurate KYC, bank and FATCA information.
• Use the Platform only for lawful purposes and your own investments.
• Notify us promptly of any unauthorised use.

7. Third-party platforms

Your use of NSE MF Invest, AMCs, RTAs and payment providers is also governed by their respective terms. We are not liable for the acts, omissions or systems of these third parties.

8. Fees

We do not charge you a fee for the distribution service; we are remunerated by AMC commission as described in Section 3. Statutory levies (e.g. stamp duty) and AMC charges apply as per scheme documents.

9. Limitation of liability & no warranty

The Platform is provided “as is” without warranties of any kind. To the maximum extent permitted by law, we are not liable for any indirect, incidental or consequential loss, or for investment losses, market movements, or any loss arising from third-party systems. Nothing in these Terms limits liability that cannot be excluded under applicable law.

10. Indemnity

You agree to indemnify us against claims, losses and expenses arising from your breach of these Terms or your misuse of the Platform.

11. Suspension & termination

We may suspend or terminate access for breach of these Terms, suspected fraud, or regulatory/legal requirement. You may stop using the Platform at any time; certain records will be retained as required by law (see the Privacy Policy).

12. Intellectual property

The Platform, its content and branding are owned by us or our licensors and may not be copied or reused without permission.

13. Grievance redressal

For any complaint, contact our Grievance Officer Sanjay Raj Mukundan at support@marketgurumalayalam.in or +91 90375 24075. If unresolved, you may escalate to AMFI, or to SEBI through the SCORESportal (scores.sebi.gov.in), and pursue resolution via SEBI’s Online Dispute Resolution (SMART ODR) mechanism.

14. Governing law & jurisdiction

These Terms are governed by the laws of India. Subject to the grievance and ODR mechanisms above, the courts at Kozhikode, Kerala have exclusive jurisdiction.

15. Changes

We may amend these Terms; material changes will be notified and the version above updated. Continued use, or re-acceptance where requested, constitutes acceptance.
